Terms and Conditions

Please read these terms carefully before creating an account or making a Booking. By using the Platform, creating an account or making a booking, you agree to these terms. If you do not agree, you must not use the Platform.

Welcome to Vaxigo Ltd (“VaxiGo”). In these terms, we also refer to VaxiGo as “our”, “we” or “us”, and you are referred to as “you” or “your”. These terms and conditions apply to your use of the VaxiGo platform (“Platform”) and to any booking you make through it.

Once you make a Booking, the terms accepted at the point of Booking will apply to that Booking and to VaxiGo’s booking facilitation service. We may change any part of these terms at any time by updating this page, so different terms may apply next time you use the Platform. You can check the date above to see when we last updated these terms.

Your key information

VaxiGo provides an online booking platform that helps you book private vaccination appointments with independent healthcare providers. VaxiGo does not provide medical advice, clinical assessment, prescribing, treatment or vaccination services. The Provider is responsible for deciding whether a vaccination is suitable for you and for administering the vaccination.

When you book, you pay VaxiGo a Platform Fee equal to 5% of the Total Vaccination Cost. You pay the remaining 95% directly to the provider at your appointment. The Total Vaccination Cost, the Platform Fee and the Provider Fee will be shown to you before you book.

You may have a statutory right to cancel VaxiGo’s booking facilitation service within 14 days. However, because VaxiGo begins providing the service immediately after you book, you will be asked to expressly request immediate performance and acknowledge that you may lose that statutory cancellation right once the service has been fully performed.

Separately from your statutory rights, VaxiGo will refund the Platform Fee if you cancel more than 2 hours before your appointment or if the provider cancels. If you cancel 2 hours or less before your appointment, the Platform Fee is non-refundable.

VaxiGo must provide its booking facilitation service with reasonable care and skill. Nothing in these terms affects your statutory rights or excludes liability where it would be unlawful to do so. 1. About VaxiGo and these terms

(a)VaxiGo operates an online booking platform that helps users find and book private vaccination appointments with independent healthcare providers.
(b)VaxiGo is a technology platform and booking facilitator only. We do not provide vaccinations, medical advice, clinical assessments, diagnosis, treatment, prescribing or any other healthcare service.
(c)Vaccination services booked through the Platform are provided by independent healthcare providers, such as pharmacies, travel clinics, private GP practices or other regulated providers.
(d)These terms govern:
(i)your use of the Platform;
(ii)the creation and use of your account;
(iii)the booking process;
(iv)payment of the Platform Fee;
(v)cancellation and refund rules relating to the Platform Fee;
(vi)the use of any pre-appointment health information form; and
(vii)your relationship with VaxiGo as the operator of the Platform.
(e)These terms do not govern the clinical services provided by a Provider. Any vaccination, clinical assessment, consultation, advice, treatment or related healthcare service is provided by the relevant Provider and may be subject to that Provider’s own terms, policies and professional obligations.

2. Key points about VaxiGo

(a)VaxiGo helps you search for and book private vaccination appointments with independent healthcare providers.
(b)VaxiGo provides the Platform and booking facilitation service only. We do not provide medical advice, clinical assessments, treatment or vaccination services.
(c)As part of the booking process, VaxiGo may collect and store limited fixed health question responses from you and relay those responses to the relevant Provider for booking administration and appointment preparation purposes. VaxiGo does not analyse those responses, make clinical decisions, generate clinical outputs or determine whether a vaccination is suitable for you.
(d)The Provider is responsible for deciding whether a vaccination is suitable for you and for administering the vaccination.
(e)When you make a Booking, you pay VaxiGo the Platform Fee. You pay the Provider Fee directly to the Provider at your appointment.
(f)A Booking does not guarantee that a vaccination will be administered. The Provider may decide not to administer a vaccination if it is not clinically suitable or safe.
(g)If you have a complaint about the Platform, your Account, a Booking or the Platform Fee, contact VaxiGo. If your complaint relates to clinical care or the Vaccination Service, you should contact the Provider.

3. Eligibility and account registration

(a)To create an Account or make a Booking, you must:
(i)be at least 18 years old;
(ii)have legal capacity to enter into a binding contract;
(iii)be using the Platform for personal, non-commercial purposes; and
(iv)provide accurate, complete and up-to-date information.
(b)You may make a Booking on behalf of another person only if:
(i)you are authorised to do so;
(ii)you provide accurate information about that person; and
(iii)where the Booking is for a child or young person under 18, you are their parent, legal guardian or otherwise have lawful authority to make the Booking.
(c)Where you make a Booking on behalf of another person, references in these terms to “you” include that person where the context requires, including in relation to clinical information and the Vaccination Service.
(d)You are responsible for maintaining the confidentiality and security of your Account login details.
(e)You must notify us promptly at support@vaxigo.co.uk if you become aware of any unauthorised access to or use of your Account.
(f)You must not provide false, misleading or incomplete information when using the Platform or making a Booking.
(g)We may refuse to create an Account, suspend an Account or restrict access to the Platform where we reasonably believe that:
(i)information provided by you is inaccurate, incomplete or misleading;
(ii)your Account has been used without authorisation;
(iii)you have breached these terms;
(iv)you have used the Platform unlawfully, fraudulently or abusively; or
(v)suspension or restriction is necessary to protect the Platform, Providers, patients or other users.
(h)You may request to close your Account at any time using the functionality provided on the Platform or by contacting us.
(i)We may suspend, restrict or close your Account where we reasonably believe that you have breached these terms, provided inaccurate or misleading information, misused the Platform, failed to pay an amount due, or where suspension or closure is reasonably necessary to protect users, Providers, VaxiGo or the Platform. Where appropriate, we will take reasonable steps to notify you.

4. Acceptance

(a)These terms should be made available to you before you create an Account and before you make a Booking.
(b)At the point of Account creation, VaxiGo may ask you to tick a checkbox or click an acceptance button confirming:
(i)“I have read and agree to VaxiGo’s Terms and Conditions and acknowledge that VaxiGo is a booking platform only and does not provide medical or clinical services.”
(c)At the point of Booking, VaxiGo will ask you to tick a checkbox or click an acceptance button confirming:
(i)“I have read and agree to VaxiGo’s Terms and Conditions. I understand that VaxiGo will begin providing the booking facilitation service immediately once I make my Booking, and I acknowledge that I may lose my statutory right to cancel that service once it has been fully performed.”

5. VaxiGo’s role as booking platform

(a)VaxiGo provides a technology platform that allows you to search for, select and book private vaccination appointments with Providers.
(b)VaxiGo’s role is limited to:
(i)making the Platform available;
(ii)displaying Provider listings and appointment availability;
(iii)facilitating the Booking process;
(iv)collecting the Platform Fee;
(v)sending Booking Confirmations and related booking communications;
(vi)collecting and transmitting any questionnaire responses where applicable; and
(vii)providing customer support in relation to Platform and Booking issues.
(c)VaxiGo does not:
(i)provide medical advice;
(ii)provide clinical assessments;
(iii)recommend that any particular vaccine is clinically suitable for you;
(iv)decide whether you should receive a vaccination;
(v)prescribe, supply or administer vaccines;
(vi)employ, supervise or control Providers or their clinical staff;
(vii)operate as an emergency medical service; or
(viii)provide NHS services.
(d)Any information on the Platform about vaccines, travel health, appointment types, Provider locations or availability is provided for general information and booking purposes only. It is not medical advice and must not be relied on as a substitute for advice from a qualified healthcare professional.
(e)If you are experiencing a medical emergency, you should call 999 or seek urgent medical assistance. The Platform must not be used for urgent or emergency medical needs.

6. Providers and clinical responsibility

(a)Providers listed on the Platform are independent healthcare providers. They are not employees, agents, partners, representatives or subcontractors of VaxiGo.
(b)The Provider is solely responsible for the Vaccination Service, including:
(i)clinical assessment;
(ii)checking contraindications;
(iii)deciding whether a vaccination is suitable;
(iv)obtaining informed consent;
(v)supplying, preparing and administering vaccines;
(vi)managing adverse reactions;
(vii)providing aftercare advice;
(viii)keeping clinical records;
(ix)handling clinical complaints; and
(x)complying with all professional, regulatory, legal and insurance obligations that apply to the Provider.
(c)VaxiGo does not control or direct the Provider’s clinical decisions.
(d)A Booking made through the Platform creates:
(i)a contract between you and VaxiGo for the booking facilitation service provided through the Platform; and
(ii)a separate relationship between you and the Provider for the Vaccination Service.
(e)VaxiGo is not a party to your contract or clinical relationship with the Provider for the Vaccination Service.
(f)VaxiGo may take reasonable onboarding or verification steps in relation to Providers before listing them on the Platform. However, Providers remain responsible for maintaining all registrations, licences, permissions, approvals, insurance and clinical authorisations required to provide the Vaccination Services they list.
(g)Where the Platform identifies a Provider as being registered with, or recognised by, a professional or regulatory body, that information is based on information available to VaxiGo and/or information supplied by the Provider. You may also check a Provider’s registration directly with the relevant regulatory body.

7. Booking process and contract formation

(a)To make a Booking, you must follow the booking steps shown on the Platform.
(b)Before you confirm a Booking, the Platform will display key information, which may include:
(i)the selected Vaccination Service;
(ii)the selected Provider;
(iii)the appointment date, time and location;
(iv)the Total Vaccination Cost;
(v)the Platform Fee payable to VaxiGo;
(vi)the Provider Fee payable to the Provider;
(vii)the amount payable at the time of Booking;
(viii)the amount payable at the appointment; and
(ix)any applicable cancellation information.
(c)You are responsible for checking all Booking details carefully before confirming the Booking.
(d)A binding contract between you and VaxiGo for the booking facilitation service is formed when:
(i)you confirm the Booking;
(ii)the Platform Fee is successfully paid; and
(iii)VaxiGo issues a Booking Confirmation.
(e)The Booking Confirmation confirms that your appointment request has been processed through the Platform. The Provider remains responsible for delivering the Vaccination Service and may still need to assess your clinical suitability at the appointment.
(f)A Booking does not guarantee that a vaccination will be administered. The Provider may decide not to administer a vaccination if, in the Provider’s clinical judgment, it is not suitable or safe to do so.
(g)VaxiGo may refuse, cancel or reverse a Booking where:
(i)the Platform Fee cannot be processed;
(ii)the Booking appears to be fraudulent, abusive or unlawful;
(iii)the Provider is unavailable;
(iv)there is an obvious error in the listing, price, availability or Booking information;
(v)we are required to do so by law; or
(vi)we reasonably consider it necessary to protect users, Providers, VaxiGo or the Platform.
(h)If VaxiGo cancels a Booking after you have paid the Platform Fee and you are not at fault, VaxiGo will refund the Platform Fee.

8. Prices, Platform Fee and Provider Fee

(a)The Platform will display the Total Vaccination Cost before you make a Booking.
(b)Unless stated otherwise before you book, the Total Vaccination Cost is made up of:
(i)the Platform Fee, being 5% payable to VaxiGo at the time of Booking; and
(ii)the Provider Fee, being 95% payable directly to the Provider at the appointment.
(c)The Platform Fee is charged by VaxiGo for the booking facilitation service provided through the Platform.
(d)The Provider Fee is charged by the Provider for the Vaccination Service.
(e)VaxiGo does not receive, hold or control the Provider Fee. The Provider Fee is paid directly by you to the Provider in accordance with the Provider’s own payment arrangements.
(f)The Platform will clearly show the amount payable to VaxiGo and the amount payable to the Provider before you confirm your Booking.
(g)VaxiGo aims to ensure that prices shown on the Platform are accurate and include all mandatory charges known to VaxiGo at the time of Booking.
(h)Providers are responsible for ensuring that their listed prices, availability, service descriptions and other listing information are accurate and up to date.
(i)If there is an obvious pricing or listing error, VaxiGo may cancel the Booking and refund the Platform Fee.
(j)VaxiGo is not currently VAT registered. The Platform Fee is therefore not currently charged with VAT. If VaxiGo becomes VAT registered, VaxiGo may update these terms and the Platform pricing information accordingly.
(k)The Provider is responsible for its own VAT, tax and pricing treatment in relation to the Provider Fee.

9. Payment

(a)Payment of the Platform Fee is processed securely through Stripe or another payment processor selected by VaxiGo from time to time.
(b)VaxiGo does not store your full payment card details.
(c)By making a Booking, you authorise Stripe or the relevant payment processor to process the Platform Fee.
(d)Stripe or the relevant payment processor may process your payment in accordance with its own terms and privacy information.
(e)VaxiGo is not responsible for delays, errors or failures caused by Stripe, your card issuer, your bank or another payment service provider where the issue is outside VaxiGo’s reasonable control.
(f)If payment of the Platform Fee is declined, reversed, charged back or otherwise not completed, VaxiGo may cancel or suspend the relevant Booking.

10. Cancellations and refunds

(a)You may cancel a Booking through your Account or by contacting VaxiGo at support@vaxigo.co.uk.
(b)If you cancel more than 2 hours before the scheduled appointment time, VaxiGo will refund the Platform Fee in full.
(c)If you cancel 2 hours or less before the scheduled appointment time, the Platform Fee is non-refundable.
(d)If the Provider cancels your appointment, VaxiGo will refund the Platform Fee in full.
(e)Refunds of the Platform Fee will be processed through Stripe or the relevant payment processor within 14 days. Refunds may take further time to appear in your account, depending on your card issuer or payment provider.
(f)VaxiGo is responsible only for refunds of the Platform Fee. Any refund, charge or payment relating to the Provider Fee is a matter between you and the Provider, unless the Platform states otherwise before you book.
(g)Providers must not charge you any additional mandatory fee, cancellation fee, no-show fee, administration fee or similar charge unless that charge was clearly displayed to you before you made the Booking or is otherwise permitted by law.
(h)Nothing in this clause affects your statutory rights.

11. Statutory cancellation rights

(a)Under the Consumer Contracts Regulations, you may have a statutory right to cancel a distance contract within 14 days without giving a reason.
(b)VaxiGo’s booking facilitation service begins immediately after you make a Booking, because VaxiGo starts processing the Booking, securing the appointment with the Provider and issuing the Booking Confirmation.
(c)Before you make a Booking, you will be asked to expressly request that VaxiGo begins providing the booking facilitation service immediately.
(d)You will also be asked to acknowledge that, once VaxiGo has fully performed the booking facilitation service, you will lose your statutory right to cancel that service under the Consumer Contracts Regulations.
(e)VaxiGo treats its booking facilitation service as fully performed once it has confirmed the Booking and sent the relevant Booking information to you and/or the Provider.
(f)If you cancel before VaxiGo has fully performed the booking facilitation service, VaxiGo may charge you for the booking facilitation service provided up to the time of cancellation, where permitted by law.
(g)The cancellation policy in clause 10 may give you additional rights to a refund of the Platform Fee, even where your statutory cancellation right has ended.
(h)Nothing in these terms limits your rights under the Consumer Rights Act 2015 or any other consumer protection law.

12. Not-administered appointments

(a)A Vaccination Service may not be administered at your appointment if the Provider decides that the vaccination is not clinically suitable or should not be administered for any other clinical, regulatory or safety reason.
(b)The Provider is solely responsible for deciding whether to administer or not administer a vaccination.
(c)If no vaccination is administered at your appointment because the Provider decides that the vaccination is not clinically suitable, VaxiGo will refund the Platform Fee in full once the Provider has confirmed the outcome to VaxiGo.
(d)If your Booking includes multiple vaccinations or multiple persons and only some of the booked vaccinations are administered, VaxiGo will recalculate the Platform Fee by reference to the vaccinations actually administered and refund any overpaid Platform Fee.
(e)VaxiGo will usually process any refund due under this clause within 5 Business Days after receiving confirmation from the Provider that the relevant vaccination was not administered.
(f)If you believe that a Platform Fee refund is due because a vaccination was not administered, you should contact VaxiGo at support@vaxigo.co.uk within 7 days of the appointment date.
(g)VaxiGo may need to contact the Provider to verify whether a vaccination was administered. The Provider’s response may affect whether a refund is processed.
(h)VaxiGo may, acting reasonably, issue a Platform Fee refund where the Provider does not respond within a reasonable period or where VaxiGo considers that a refund is appropriate based on the information available to it.
(i)VaxiGo is not responsible for the Provider’s clinical decision not to administer a vaccination.

13. Health information

(a)Before certain Bookings, you may be asked health questions, the answers of which we share with the relevant Provider.
(b)These questions may ascertain information about allergies, medical history, pregnancy or breastfeeding status, medicines, immune conditions, recent vaccinations, previous reactions or other matters relevant to clinical suitability.
(c)VaxiGo’s role in relation to these questions and your responses is limited to collecting, storing and transmitting the information to the relevant Provider for the purpose of the Booking and the Provider’s preparation for the appointment.
(d)VaxiGo does not use any health data or your responses to:
(i)make clinical decisions;
(ii)assess whether a vaccination is suitable for you;
(iii)diagnose any condition;
(iv)provide medical advice;
(v)generate a clinical recommendation;
(vi)replace a consultation with the Provider; or
(vii)determine whether the Provider should administer a vaccination.
(e)The Provider must carry out its own clinical assessment at the appointment.
(f)You must provide accurate, complete and truthful information.
(g)If you provide inaccurate, incomplete or misleading information, this may affect the Provider’s ability to assess whether a Vaccination Service is suitable or safe for you.
(h)VaxiGo processes this data as explained in the Privacy Policy.
(i)If you do not wish to provide this information, you may be unable to complete certain Bookings through the Platform.

14. Privacy and cookies

(a)VaxiGo will collect, use, store and share your personal data in accordance with its Privacy Policy.
(b)As part of providing the Platform, VaxiGo may collect information about you (including personal and special category data, including details about your health) as an independent controller. The Provider is a separate, independent controller of the personal data it processes to provide the Vaccination Service, and the Provider’s own privacy policy applies to its collection and processing of that data.
(c)Our Privacy Policy explains how we, as a controller, collect and process your personal data and includes:
(i)what personal data VaxiGo collects;
(ii)why VaxiGo uses it;
(iii)the legal bases relied on;
(iv)when VaxiGo shares data with Providers and other third parties;
(v)how long data is retained; and
(vi)your data protection rights.
(d)VaxiGo may share your personal data with:
(i)the Provider you select, for the purpose of fulfilling your Booking and providing the Vaccination Service;
(ii)Stripe or another payment processor, for payment processing;
(iii)technology and operational service providers used to operate the Platform;
(iv)regulators, authorities or professional advisers where required or permitted by law; and
(v)other recipients described in the Privacy Policy.
(e)You can contact VaxiGo about data protection matters at dpo@vaxigo.co.uk.
(f)VaxiGo uses cookies and similar technologies as explained in its Cookie Policy.

15. Acceptable use

(a)You must use the Platform lawfully and responsibly.
(b)You must not:
(i)use the Platform in any unlawful, fraudulent, misleading or abusive way;
(ii)provide false, inaccurate or incomplete information;
(iii)make Bookings that you do not intend to attend;
(iv)impersonate another person;
(v)interfere with, damage or disrupt the Platform;
(vi)attempt to gain unauthorised access to the Platform, accounts, systems or data;
(vii)introduce viruses, malware or other harmful code;
(viii)use bots, scrapers or automated tools to access, copy or extract Platform data;
(ix)use the Platform for commercial resale or unauthorised business purposes;
(x)misuse Provider or patient information; or
(xi)do anything that may damage VaxiGo’s reputation, the Platform or the experience of other users.
(c)VaxiGo may suspend or restrict your access to the Platform if it reasonably believes that you have breached this clause.

16. Intellectual property

(a)All intellectual property rights in the Platform, including the website, software, design, text, graphics, logos, trade marks, branding, layout, database rights and underlying code, are owned by VaxiGo or its licensors.
(b)You are granted a limited, personal, revocable, non-exclusive, non-transferable licence to access and use the Platform for your own personal, non-commercial use in accordance with these terms.
(c)You must not, without VaxiGo’s prior written consent:
(i)copy, reproduce, distribute, publish, adapt or create derivative works from any Platform content;
(ii)use VaxiGo’s name, logo, branding or trade marks;
(iii)reverse engineer, decompile or attempt to extract the Platform’s source code;
(iv)scrape, harvest or extract Platform data; or
(v)use Platform content for commercial purposes.
(d)If you provide feedback, suggestions or ideas about the Platform, VaxiGo may use them without obligation to compensate you, provided that VaxiGo does not use your personal data except as described in the Privacy Policy.

17. Complaints and clinical complaints

(a)If you have a complaint about the Platform, your Account, a Booking, the Platform Fee or VaxiGo’s booking facilitation service, please contact VaxiGo at support@vaxigo.co.uk.
(b)VaxiGo aims to acknowledge complaints within 2 Business Days and to provide a substantive response within 14 Business Days.
(c)If your complaint relates to clinical care, vaccination suitability, clinical advice, administration of a vaccine, adverse reactions, medical records or the conduct of clinical staff, you should raise the complaint directly with the Provider.
(d)VaxiGo may help direct your complaint to the Provider where appropriate, but VaxiGo is not responsible for investigating or resolving clinical complaints.
(e)You may also contact the relevant professional or regulatory body, which may include:
(i)the GPhC, for pharmacies and pharmacy professionals;
(ii)the CQC, for relevant regulated healthcare services;
(iii)the GMC, for doctors;
(iv)the Nursing and Midwifery Council, for nurses; or
(v)NaTHNaC, for Yellow Fever Vaccination Centre matters.
(f)If a complaint involves both the Platform and clinical services, VaxiGo and the Provider may need to share relevant information to investigate and respond to the complaint, in accordance with applicable data protection laws.
(g)If a complaint cannot be resolved through our internal complaints process, you and we may agree to try to resolve the matter through mediation or another form of alternative dispute resolution. This does not prevent you or us from bringing a claim before the courts.
(h)Nothing in this clause prevents you from seeking guidance from Citizens Advice, contacting a relevant regulator, or bringing legal proceedings.

18. Liability and statutory rights

(a)VaxiGo is responsible for providing its Platform and booking facilitation service with reasonable care and skill.
(b)Nothing in these terms excludes or limits VaxiGo’s liability for:
(i)death or personal injury caused by VaxiGo’s negligence;
(ii)fraud or fraudulent misrepresentation;
(iii)breach of your statutory rights to the extent liability cannot lawfully be excluded or limited;
(iv)any liability under the Consumer Protection Act 1987 to the extent it applies and cannot lawfully be excluded or limited; or
(v)any other liability that cannot lawfully be excluded or limited.
(c)Nothing in these terms affects your statutory rights, including your rights under the Consumer Rights Act 2015.
(d)Subject to clauses 18(b) and 18(c), VaxiGo is not responsible for:
(i)clinical assessment, medical advice, treatment or vaccination services provided by a Provider;
(ii)the Provider’s decision to administer or not administer a vaccination;
(iii)adverse reactions, side effects, injury or health consequences arising from a Vaccination Service provided by a Provider;
(iv)the acts or omissions of a Provider or its clinical staff;
(v)the Provider’s failure to maintain required registrations, licences, approvals, authorisations or insurance;
(vi)the Provider’s failure to provide the Vaccination Service;
(vii)the accuracy of information supplied by a Provider, except where VaxiGo has failed to use reasonable care in displaying or handling that information;
(viii)loss caused by inaccurate, incomplete or misleading information provided by you;
(ix)loss caused by events outside VaxiGo’s reasonable control; or
(x)loss caused by third-party systems, payment providers, networks or services where the matter is outside VaxiGo’s reasonable control.
(e)Subject to clauses 18(b) and 18(c), VaxiGo is not liable for business losses. The Platform is provided for personal consumer use only. VaxiGo is not liable for loss of profit, loss of business, business interruption, loss of opportunity or business-related loss.
(f)Subject to clauses 18(b) and 18(c), VaxiGo’s total liability to you for any Booking is limited to the Platform Fee paid by you to VaxiGo for that Booking.
(g)The limitation in clause 18(f) does not apply where it would be unlawful or unfair for VaxiGo to rely on it.
(h)VaxiGo does not guarantee that the Platform will always be available, uninterrupted, secure or free from errors. VaxiGo may suspend, withdraw or change the Platform for maintenance, security, operational or legal reasons.
(i)VaxiGo is not responsible for any failure or delay caused by circumstances outside its reasonable control.

19. Changes to these terms

(a)VaxiGo may update these terms from time to time.
(b)The version of the terms in force at the time you make a Booking will apply to that Booking.
(c)If VaxiGo makes material changes to these terms, it will take reasonable steps to notify you, such as by email, through your Account or by a notice on the Platform.
(d)Where required by law or where VaxiGo considers it appropriate, VaxiGo may ask you to accept updated terms before making a new Booking.
(e)If you do not agree to updated terms, you should stop using the Platform and should not make further Bookings.
(f)Changes to these terms will not affect any rights or obligations that have already arisen in relation to a Booking made before the updated terms took effect, unless the change is required by law or you agree otherwise.

20. Account suspension and termination

(a)You may stop using the Platform at any time.
(b)You may request closure of your Account by contacting VaxiGo at support@vaxigo.co.uk.
(c)VaxiGo may suspend, restrict or close your Account if:
(i)you breach these terms;
(ii)information you provide is inaccurate, incomplete or misleading;
(iii)you misuse the Platform;
(iv)you fail to pay any amount due;
(v)VaxiGo reasonably suspects fraud, abuse, unlawful activity or security risk;
(vi)VaxiGo is required to do so by law; or
(vii)VaxiGo reasonably considers it necessary to protect users, Providers, VaxiGo or the Platform.
(d)Where VaxiGo suspends, restricts or closes your Account, it will take reasonable steps to notify you, unless doing so would be unlawful, compromise security or prejudice an investigation.
(e)Account closure does not affect:
(i)any Booking already made;
(ii)any payment or refund obligation already incurred;
(iii)any rights or obligations that have already arisen; or
(iv)any terms which are intended to continue after closure.

21. Third party rights

This agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.

22. Force majeure

(a)If a party (Affected Party) becomes unable, wholly or in part, to carry out an obligation under this agreement (other than an obligation to pay money) due to a Force Majeure Event, the Affected Party must give to the other party prompt written notice of:
(i)reasonable details of the Force Majeure Event; and
(ii)so far as is known, the probable extent to which the Affected Party will be unable to perform or be delayed in performing its obligation.
(b)Subject to compliance with clause 22(a), the relevant obligation will be suspended during the Force Majeure Event to the extent that it is affected by the Force Majeure Event.
(c)The Affected Party must use its reasonable endeavours to overcome or remove the Force Majeure Event as quickly as possible.
(d)For the purposes of these terms, a Force Majeure Event means any event outside a party’s reasonable control, including natural disaster, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, industrial action, failure of utilities, failure of telecommunications networks, cyber incident, payment processor outage, hosting provider failure, government action, Provider unavailability, or any other event outside the affected party’s reasonable control.

23. General

Governing law and jurisdiction

This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have non-exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation. If you are a consumer, nothing in this clause limits any mandatory rights you may have to bring proceedings in the courts of the country in which you live.

Waiver

No party to these terms may rely on the words or conduct of any other party as a waiver of any right unless the waiver is in writing and signed by the party granting the waiver.

Severance

Any term of these terms which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity and enforceability of the remainder of these terms is not limited or otherwise affected.

Assignment

We may transfer our rights and obligations under these terms to another organisation. We will ensure that any transfer does not affect your rights under these terms. You may only transfer your rights or obligations under these terms with our prior written consent, except where the law allows otherwise.

Entire agreement

This agreement embodies the entire agreement between the parties and supersedes any prior negotiation, conduct, arrangement, understanding or agreement, express or implied, in relation to the subject matter of these terms. Nothing in this clause limits or excludes any rights you have in relation to pre-contract information or statements that form part of the contract by law.

Interpretation

(a)(singular and plural) words in the singular includes the plural (and vice versa);
(b)(currency) a reference to £, or “pound”, is to pound sterling (GBP), unless otherwise agreed in writing;
(c)(gender) words indicating a gender includes the corresponding words of any other gender;
(d)(defined terms) if a word or phrase is given a defined meaning, any other part of speech or grammatical form of that word or phrase has a corresponding meaning;
(e)(person) a reference to “person” or “you” includes an individual, the estate of an individual, a corporation, an authority, an association, consortium or joint venture (whether incorporated or unincorporated), a partnership, a trust and any other entity;
(f)(these terms) a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure is a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure to or of these terms, and a reference to these terms includes all schedules, exhibits, attachments and annexures to it;
(g)(document) a reference to a document (including these terms) is to that document as varied, novated, ratified or replaced from time to time;
(h)(headings) headings and words in bold type are for convenience only and do not affect interpretation;
(i)(includes) the word “includes” and similar words in any form is not a word of limitation; and
(j)(adverse interpretation) no provision of these terms will be interpreted adversely to a party because that party was responsible for the preparation of these terms or that provision.

Notices

(a)A notice or other communication to a party under this agreement must be:
(i)in writing and in English; and
(ii)delivered via email to the other party, to the email address specified in this agreement, or if no email address is specified in this agreement, then the email address most regularly used by the parties to correspond regarding the subject matter of this agreement as at the date of this agreement (Email Address). The parties may update their Email Address by notice to the other party.
(b)Unless the party sending the notice knows or reasonably ought to suspect that an email was not delivered to the other party’s Email Address, notice will be taken to be given:
(i)24 hours after the email was sent, unless that falls on a Saturday, Sunday or a public holiday in the country whose laws govern this agreement, in which case the notice will be taken to be given on the next occurring business day in that country; or
(ii)when replied to by the other party,
(iii)whichever is earlier.

Definitions

In these Terms:

Account
means the account you create on the Platform.
Booking
means a confirmed booking for a Vaccination Service made through the Platform.
Booking Confirmation
means the email, on-screen confirmation or other confirmation sent to you after a Booking has been made and the Platform Fee has been paid.
Business Day
means a day other than a Saturday, Sunday or public holiday in England.
Consumer Contracts Regulations
means the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
CQC
means the Care Quality Commission.
GMC
means the General Medical Council.
GPhC
means the General Pharmaceutical Council.
NaTHNaC
means the National Travel Health Network and Centre.
Platform
means the VaxiGo website at https://www.vaxigo.co.uk and any related online platform, application, booking system, account area or digital service operated by VaxiGo.
Platform Fee
means the fee payable by you to VaxiGo for the Platform’s booking facilitation service, calculated as 5% of the Total Vaccination Cost unless otherwise stated before you book.
Provider
means an independent healthcare provider listed on the Platform who offers or provides Vaccination Services.
Provider Fee
means the balance of the Total Vaccination Cost payable by you directly to the Provider, being 95% of the Total Vaccination Cost unless otherwise stated before you book.
Stripe
means the third-party payment processor used by VaxiGo to process payment of the Platform Fee.
Total Vaccination Cost
means the total price of the relevant Vaccination Service as displayed to you before you make a Booking, comprising the Platform Fee and the Provider Fee.
Vaccination Service
means a private vaccination, immunisation or related appointment offered by a Provider and bookable through the Platform.
